1. Acceptance of Terms

By downloading, installing, or using the HoldSpace application or visiting our website (collectively, the "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

HoldSpace is a room booking application for iOS that allows users to manage conference rooms, shared spaces, and amenities. The Service is offered in three tiers: Free, Pro ($2/month), and Enterprise ($4/month), each with different features as described on our Pricing page.

3. Accounts & Registration

The Free tier does not require an account. Pro and Enterprise tiers require authentication through Microsoft 365, Google Workspace, or Apple Sign-In. You are responsible for maintaining the security of your account credentials and for all activity under your account.

4. Subscriptions & Billing

• Paid subscriptions (Pro and Enterprise) are billed monthly through the Apple App Store via StoreKit 2.
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.
• You can manage or cancel your subscription in your device's Settings > Apple ID > Subscriptions.
• Refunds are handled by Apple in accordance with their refund policy.
• We reserve the right to change subscription pricing with reasonable notice. Price changes will take effect at the start of your next billing cycle.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to the Service or related systems
• Use the Service to transmit malicious code or harmful content
• Resell, sublicense, or redistribute the Service without written permission

6. Intellectual Property

The Service, including its design, code, graphics, logos, and documentation, is owned by HoldSpace and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You retain ownership of any content (booking data, form responses, configurations) you create using the Service.

7. Third-Party Integrations

The Service integrates with third-party services including Microsoft 365, Google Workspace, Zoom, and Webex. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or policies of third-party services.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the maximum extent permitted by law, HoldSpace shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

10. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) shall survive.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction.
